    1. Acceptance of Terms

    By accessing, browsing, or using the OmniRx Health website, mobile application, or any of our telemedicine services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

    If you do not agree to these Terms, you must not access or use our Services. Your continued use of our Services constitutes your ongoing acceptance of these Terms, including any modifications we may make from time to time.

    You represent and warrant that you are at least 18 years of age, or if you are under 18, that you are using our Services under the supervision of a parent or legal guardian who has agreed to these Terms on your behalf.

    2. Medical Disclaimer and Provider-Patient Relationship

    2.1 Telemedicine Services

    OmniRx Health provides a platform that connects patients with licensed healthcare providers for virtual medical consultations. We are not a healthcare provider ourselves, but rather facilitate telemedicine services through licensed physicians, nurse practitioners, and physician assistants.

    2.2 Provider-Patient Relationship

    The medical provider-patient relationship is established directly between you and the individual healthcare provider who provides your medical care through our platform. OmniRx Health facilitates this relationship but is not a party to it.

    2.3 Service Limitations

    • Our services are not intended for emergency medical situations
    • Virtual consultations have inherent limitations compared to in-person examinations
    • Some conditions may require in-person evaluation or specialist referral
    • Diagnostic accuracy may be limited by the nature of telemedicine
    • Technical issues may affect the quality of virtual consultations

    Emergency Medical Situations

    If you are experiencing a medical emergency, call 911 immediately or go to your nearest emergency room. Do not use our Services for emergency medical situations.

    3. User Responsibilities and Conduct

    3.1 Account Responsibility

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

    • Provide accurate, complete, and current information about yourself
    • Update your information promptly when changes occur
    • Maintain the security of your login credentials
    • Notify us immediately of any unauthorized use of your account
    • Use the Services only for their intended medical purposes

    3.2 Prohibited Conduct

    5.1 Description of SMS Services

    By opting in to OmniRx Health's SMS/text messaging program, you may receive text messages related to:

    • Appointment confirmations, reminders, and scheduling changes
    • Prescription status updates and refill reminders
    • Care plan updates and follow-up instructions from your provider
    • Account verification and security codes
    • Billing and payment notifications
    • Health tips and wellness information relevant to your treatment
    • Promotional offers and service updates (only with your explicit consent)

    5.2 Opt-Out Instructions

    You can opt out of receiving SMS messages at any time using any of the following methods:

    • Reply STOP: Text STOP to any message you receive from us to immediately unsubscribe
    • Reply HELP: Text HELP to receive assistance and opt-out instructions

    After sending STOP, you will receive a one-time confirmation message. No additional messages will be sent unless you re-subscribe. Opting out of SMS does not affect your ability to use our telemedicine services.

    5.3 Message and Data Rates

    Message and data rates may apply depending on your wireless carrier and plan. OmniRx Health does not charge for SMS messages, but your wireless carrier may charge standard messaging fees. Message frequency varies based on your care plan and account activity. Please contact your wireless carrier for details about your messaging plan.

    5.4 Carrier Liability Disclaimer

    Wireless carriers (including but not limited to T-Mobile, AT&T, Verizon, Sprint, and others) are not liable for delayed or undelivered messages. OmniRx Health is not responsible for messages that are not received due to carrier issues, device incompatibility, or changes to your phone number or service plan.

    • Membership or subscription discounts
    • Promotional offers and seasonal adjustments

    6.2 Payment Processing

    Payment is required at the time of service booking unless otherwise arranged. We accept major credit cards, debit cards, and other approved payment methods. By providing payment information, you:

    • 24+ hours notice: Full refund or rescheduling available
    • 2-24 hours notice: 50% refund or rescheduling with fee
    • Less than 2 hours: No refund, full cancellation fee applies
    • No-show: Full service fee charged, no refund available
    • Provider cancellation: Full refund or free rescheduling offered

    6.4 Subscription and Membership Terms

    For subscription-based services (such as monthly memberships), the following terms apply:

    • Subscriptions automatically renew unless cancelled before the next billing cycle
    • Cancellation takes effect at the end of the current billing period
    • No refunds for partial subscription periods unless required by law
    • Subscription benefits expire immediately upon cancellation
    • We reserve the right to modify subscription terms with 30 days' notice

    7. Intellectual Property Rights

    7.1 Platform Ownership

    The OmniRx Health platform, including all software, content, trademarks, logos, and proprietary technology, is owned by OmniRx Health or our licensors and is protected by intellectual property laws. This includes:

    • Website design, functionality, and user interface
    • Mobile applications and their features
    • Proprietary algorithms and matching systems
    • Content, text, graphics, and multimedia materials
    • Trademarks, service marks, and brand elements

    7.2 Limited User License

    Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose. You may not:

    OmniRx Health acts as a technology platform connecting patients with independent healthcare providers. We are not liable for:

    • Medical advice, diagnoses, or treatment provided by healthcare providers
    • Prescription errors or medication-related complications
    • Failure to diagnose or misdiagnosis by providers
    • Adverse reactions or treatment outcomes
    • Provider scheduling conflicts or availability issues

    8.2 Service Disclaimers

    OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

    • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
    • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
    • UNINTERRUPTED OR ERROR-FREE SERVICE OPERATION
    • SECURITY OR ABSENCE OF HARMFUL COMPONENTS
    • COMPLIANCE WITH LOCAL LAWS IN ALL JURISDICTIONS

    8.3 Limitation of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMNI RX HEALTH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

    • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
    • LOSS OF DATA OR PERSONAL INFORMATION
    • MEDICAL COMPLICATIONS OR HEALTH DETERIORATION
    • EMOTIONAL DISTRESS OR PAIN AND SUFFERING
    • COSTS OF SUBSTITUTE MEDICAL CARE OR TREATMENT

    Our total liability for any claims related to our Services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $500, whichever is greater.

    9. Dispute Resolution and Arbitration

    9.1 Informal Resolution

    Before initiating formal dispute resolution procedures, we encourage you to contact us directly to seek an informal resolution. Many disputes can be resolved quickly and satisfactorily through direct communication.

    9.2 Binding Arbitration

    Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be resolved through binding arbitration rather than in court, except for:

    • Intellectual property disputes
    • Injunctive relief to prevent irreparable harm
    • Medical malpractice claims against individual providers

    Arbitration shall be conducted under the rules of the American Arbitration Association (AAA). The arbitration will be held in a location reasonably convenient to both parties, or by telephone or online by mutual agreement.

    9.4 Class Action Waiver

    You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or seek relief on a class-wide basis.

    10. Termination of Services

    10.1 Termination by User

    You may terminate your account and discontinue use of our Services at any time by contacting customer support or using the account closure feature in your user dashboard. Upon termination:

    • Your access to the platform will be immediately suspended
    • Scheduled appointments will be cancelled (subject to cancellation policies)
    • Subscription services will continue until the end of the current billing cycle
    • Medical records will be retained as required by law and regulation
    • Outstanding balances remain due and payable

    10.2 Termination by OmniRx Health

    We reserve the right to terminate or suspend your account and access to Services immediately, without prior notice, if you:

    • Violate any provision of these Terms
    • Engage in fraudulent or illegal activities
    • Provide false or misleading information
    • Abuse or harass healthcare providers or staff
    • Attempt to circumvent platform security measures
    • Fail to pay outstanding balances after reasonable notice

    10.3 Effect of Termination

    Upon termination of these Terms, your right to access and use our Services will immediately cease. However, provisions of these Terms that by their nature should survive termination shall remain in effect, including:

    • Payment obligations and outstanding balances
    • Intellectual property rights and restrictions
    • Limitation of liability and disclaimers
    • Dispute resolution and arbitration provisions
    • Confidentiality and privacy obligations

    11. General Provisions

    11.1 Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which OmniRx Health is incorporated, without regard to conflict of law principles.

    11.2 Modifications to Terms

    We reserve the right to modify these Terms at any time. Material changes will be communicated to users through:
